Agent Agreement

You are an independent referral partner. You are not an employee, partner, joint venturer, franchisee, or legal agent of JOXI Studio. Nothing in this Agreement creates an employment relationship.

You may not enter into contracts, accept payments, set prices, offer discounts, or make promises on our behalf. You may not present yourself as our employee, official representative, or authorized signatory.

• You identify a real local business that may want a website.
• You submit accurate details through our agent intake.
• We review the lead, contact the business if appropriate, and decide whether to pursue it.
• If the business becomes a paying customer, you may be eligible for commission per our Commission Policy.

You agree to:

• Submit only honest, accurate, non-duplicate leads from real businesses.
• Not use spam, mass messaging, scraping, harassment, or misleading claims.
• Not offer or accept bribes or kickbacks. You will comply with applicable anti-bribery laws.
• Not impersonate us, our employees, or any third party.
• Comply with all laws that apply to you in your country.

You will treat any non-public information we share with you as confidential. You will collect personal information about businesses and their staff only as needed to make a referral, and you will provide it to us via our intake forms — not store it outside what is needed for the referral.

We decide which agent — if any — is credited with a given lead. If two agents submit the same business, the first valid submission will normally be considered first. Duplicates may be rejected.

Commission terms are set out in our Commission Policy. Commission is paid only after the referred business becomes a paying customer and payment is confirmed. We may withhold commission for breach of this Agreement.

Either party may terminate this Agreement at any time, with or without cause, by written notice (including email or in-app notification). Termination does not cancel commissions already approved before termination.

You agree to indemnify and hold us harmless from claims, damages, or losses arising from your breach of this Agreement, your unlawful conduct, or your misuse of personal information.

We make no promises about the volume or value of leads you can generate, or how much commission you may earn. Earnings depend on your effort, the businesses you find, market conditions, and factors beyond our control.

The governing law and venue for disputes under this Agreement will be specified separately when an agent is formally onboarded.
